Terms of Service

The rules governing your use of Thuita products and services, operated by Michael Thuita Limited. Last updated: March 2026.

1. Acceptance

By accessing or using any product or service provided by Michael Thuita Limited (“Thuita”, “we”, “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our services.

These Terms apply to all Thuita products including, but not limited to, Thuita Finance (WhatsApp Accountant), and any future AI agents, workflow engines, or tools we build and operate.

2. Our Services

Thuita builds and operates agentic products, AI workflow engines, and automation tools designed for founders, creators, and organisations. Our services help automate operational tasks, track financial data, and coordinate intelligent workflows.

The specific features available to you depend on the product and subscription plan you are on. We reserve the right to modify, expand, or discontinue features at any time, with reasonable notice where practical.

3. Accounts

  • You must be at least 18 years old to create an account or use our services
  • You must provide accurate, complete information during onboarding and keep it up to date
  • You are responsible for maintaining the security of your account credentials and any access methods (e.g. phone number, WhatsApp account)
  • You may not create more than one account per individual or entity unless explicitly agreed with us
  • You are responsible for all activity that occurs under your account

4. Acceptable Use

You agree not to:

  • Use our services for any unlawful purpose or in violation of applicable laws
  • Input false, misleading, or fraudulent financial or business data
  • Attempt to reverse-engineer, decompile, or exploit our AI systems, models, or infrastructure
  • Scrape, crawl, or programmatically extract data from our services in an unauthorised manner
  • Share your account credentials or access with third parties
  • Use our services to harm, harass, or defraud others
  • Introduce malicious code, viruses, or disruptive content into our systems

We reserve the right to suspend or terminate accounts that violate these rules.

5. Subscriptions and Payments

  • Paid plans are billed on the schedule stated at the point of purchase (monthly or annual)
  • Payments are processed by our appointed payment service provider. By subscribing, you agree to the terms of the payment provider presented to you at checkout.
  • Subscription fees are charged in advance and are non-refundable except where required by applicable law or at our sole discretion in extraordinary circumstances
  • If a payment fails, we will notify you and your account may be downgraded to the free tier or suspended until payment is resolved
  • We may change pricing with reasonable advance notice — typically 30 days. Continued use after a price change takes effect constitutes acceptance

6. AI Processing and Data

  • Our services use AI language models to understand and respond to your inputs. AI outputs are generated automatically and may not always be accurate or complete.
  • You are responsible for verifying any important financial or business information generated or surfaced by our AI tools before acting on it
  • We use your data in aggregate and anonymised form to improve our AI systems. Your individual data is not used to train publicly available or third-party AI models without your consent
  • We do not sell your data to advertisers or data brokers

7. Intellectual Property

  • Thuita, its logos, systems, product interfaces, and underlying technology are owned by Michael Thuita Limited. All rights reserved.
  • The data you enter into our products (expenses, income records, business information, etc.) belongs to you. We process it on your behalf.
  • We grant you a limited, non-exclusive, non-transferable licence to use our products for their intended purpose under these Terms. This licence ends when your account is terminated.
  • Any feedback, suggestions, or ideas you share about our products may be used by us to improve our services, without obligation to compensate you

8. Limitation of Liability

To the maximum extent permitted by applicable law, Michael Thuita Limited shall not be liable for:

  • Any business or financial decisions made based on AI-generated outputs from our products
  • Loss of data beyond what is recoverable through our standard backup and recovery processes
  • Indirect, incidental, special, consequential, or punitive damages of any kind
  • Service interruptions due to factors outside our reasonable control (infrastructure outages, third-party API failures, force majeure events)

Our total cumulative liability to you in any 12-month period shall not exceed the total amount you paid us in that same period.

9. Termination

We may suspend or terminate your account if you materially breach these Terms, engage in fraudulent activity, or if required by law. We will endeavour to provide reasonable notice where possible.

You may cancel your account at any time. Upon termination, your access to the services will end and your data will be handled in accordance with our Privacy Policy and Data Deletion procedures.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of Kenya. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the product interface or by email where we have your contact details. Continued use of our services after the effective date of any changes constitutes your acceptance of the updated Terms.
